Agreement to Our Legal Terms
We are: START ME UP AI LTD (“Company,” “we,” “us,” “our”).
Our company number is 15330056. Our registered office is 128 City Road, London, United Kingdom, EC1V 2NX.
General enquiries and legal correspondence: contact@startmeup.ai. Byblos AI product support: support@startmeup.ai.
We operate https://www.startmeup.ai and https://byblosai.app, as well as any other related products and services that refer or link to these legal terms (the “Legal Terms”) (collectively, the “Services”).
The Services include our corporate website, AI and software consulting, development, implementation and support where agreed with you, and operated products including Byblos AI. Byblos AI supports project and product planning, brand and campaign work, and the agents, content tools, integrations and automations made available to your account. Supported MCP/API connections let authorized third-party assistants interact with your workspace.
Availability varies by feature, plan and access status. A reference to a service in these terms does not make a beta, proposed product or coming-soon feature generally available. A signed service agreement, order or separate software licence takes precedence over these general terms for the specific matters it addresses.
You can contact us by email at contact@startmeup.ai or by mail to:
START ME UP AI LTD
128 City Road, London, United Kingdom, EC1V 2NX
These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and START ME UP AI LTD, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
Supplemental terms apply where identified for the service you select. We may update these Legal Terms and will identify the revision date above. We will give notice of material changes by email or a service notice where required by law or our agreement with you, and obtain acceptance where required. An update does not retrospectively change an agreed order or remove mandatory rights. The Services are intended for users aged at least 18.
We recommend that you print a copy of these Legal Terms for your records.
Our Services
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
Byblos AI MCP and Connected AI Tools
You may use our official interfaces, supported MCP/API integrations and authorized automations within their documented scope. A connected assistant acts on your behalf within the permissions you grant, your account and project roles, applicable plan entitlements and service limits. A connection does not grant access to other customers’ workspaces or bypass access controls.
Read permissions allow the connected assistant to receive information returned by permitted tools. Additional permissions can authorize changes to project documents, brand content, campaign drafts and settings, tasks, profile details, support/feedback, calendar actions and expert-review requests. Some actions consume credits or allowances, including purchased extra credits once the included allowance is used. Requests to reschedule or cancel a meeting require your approval in Byblos AI. Publishing, deleting and first-time scheduling of campaign posts, and purchases, are available only in the app. Some write actions send messages that cannot be recalled, such as booking invitations and support requests. Do not assume every write requires a new confirmation: review the permissions before authorizing a connection.
You can revoke an OAuth workspace connection in Byblos AI → Account → Connected apps. Revocation stops future access through that grant; it does not undo completed actions or erase copies already returned to the assistant. The Privacy Policy explains data flows and retention.
You must have authority to connect accounts and process the content involved. Third-party assistants and connected services have their own terms, privacy practices and charges. Supported integrations must not be used to scrape without authorization, evade security or rate limits, or perform actions outside the permissions granted.
AI Outputs and Human Review
AI-generated plans, copy, images, code and other outputs can be inaccurate, incomplete or similar to outputs generated for others. Review outputs and verify facts, rights, permissions and suitability before relying on them, publishing them or taking consequential action. AI assistance does not guarantee business results or replace professional legal, financial or other regulated advice.
Beta features may change or be withdrawn subject to applicable law and any agreement with you. Their availability does not establish that every proposed capability is included in your plan.
Intellectual Property Rights
Our Intellectual Property
We own or license the intellectual property in our platform and corporate website, including their source code, databases, functionality, software, designs, audio, video, text, photographs and graphics (collectively, the “Content”), as well as their trademarks, service marks and logos (the “Marks”).
Customer Content and Generated Outputs, defined below, are separate from our platform Content and Marks. Customer-specific deliverables, separately licensed code and third-party components are governed by their applicable agreements and licences.
Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.
Our Content and Marks are provided in or through the Services “AS IS” for your internal business purpose only.
Your Use of Our Services
Subject to your compliance with these Legal Terms, including the “Prohibited Activities” section below, we grant you a non-exclusive, non-transferable, revocable license to:
- Access the Services; and
- Download or print a copy of any portion of our Content to which you have properly gained access solely for your personal, non-commercial use or internal business purpose.
Except as set out in this section or elsewhere in our Legal Terms, no part of our Content or Marks may be:
- Copied
- Reproduced
- Aggregated
- Republished
- Uploaded
- Posted
- Publicly displayed
- Encoded
- Translated
- Transmitted
- Distributed
- Sold
- Licensed
- Or otherwise exploited for any commercial purpose whatsoever,
without our express prior written permission.
These restrictions do not apply to Customer Content or Generated Outputs.
If you wish to make any other use of our Content or Marks, please address your request to: contact@startmeup.ai. If we grant you permission to post, reproduce, or publicly display our Content or Marks, you must identify us as their owners or licensors and keep applicable copyright or proprietary notices visible.
We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.
Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.
Customer Content and Generated Outputs
Your project briefs, private conversations, business information, documents, files, brand assets, campaign material and other content you or your authorized users provide are “Customer Content.” Content supplied through a connected assistant is treated on the same basis as content supplied directly. As between you and us, you retain your rights in Customer Content; using the Services does not assign those rights to us.
You authorize us to host, process, reproduce and transmit Customer Content as needed to provide the services you request, including processing by relevant providers and sharing with authorized collaborators or connected tools. This service permission does not make private project content public or turn it into voluntary product feedback. Handling of personal information is described in the Privacy Policy, and agreed confidentiality and data-processing obligations continue to apply.
We do not claim ownership of the plans, documents, brand assets, campaign copy and other outputs generated for you (“Generated Outputs”). You may use them for your own projects and commercial activities, subject to applicable law, third-party rights and provider terms. We do not guarantee that an output is unique or capable of exclusive intellectual-property protection. You are responsible for having the rights and permissions needed for the content you supply and the uses you make of outputs.
Where the repository connection is available to your account, Byblos AI can create branches, pull requests or repositories at your instruction. You review and merge them, and third-party tool terms (for example, the code-hosting provider or AI coding assistant) apply.
Software Delivery and Code Licences
A signed development agreement, order or applicable licence determines ownership and permitted sharing of customer-specific deliverables and any licensed Production Foundation or other pre-existing platform code. Delivery of a repository does not by itself transfer all rights in underlying platform components. Restrictions on sharing, sublicensing, open-sourcing or reuse of separately licensed code remain governed by that agreement or licence. Third-party and open-source components retain their own licence terms.
These code-licensing provisions do not impose a blanket ban on commercial use or sharing of your Customer Content or Generated Outputs. They also do not expand rights granted by a separate code licence.
Voluntary Product Feedback
If you voluntarily provide suggestions about improving our Services, you permit us to use those suggestions to improve our products without compensation. You retain any rights you have in the feedback and grant us a non-exclusive permission for that purpose. This does not assign your private business ideas, project content or customer-specific deliverables to us. Information in support and feedback reports, including attachments, remains subject to applicable privacy and confidentiality obligations; filing a report does not make it public.
User Representations
By using the Services, you represent and warrant that:
- You have the legal capacity and you agree to comply with these Legal Terms;
- You are not a minor in the jurisdiction in which you reside;
- You will use automated access only through official interfaces, supported integrations or other means we authorize, within the applicable permissions, access controls and limits;
- You will not use the Services for any illegal or unauthorized purpose; and
- Your use of the Services will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).
User Registration
You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
Purchases and Payment
Payment Processing
Payments are handled by the payment provider identified at checkout, including Revolut for Byblos AI checkout and Stripe for Experts marketplace payments where offered. The provider’s applicable terms govern its payment-processing service. Your order identifies the price, currency, taxes where applicable and the product or allowance purchased.
Plans, Credits and Expert Reviews
Subscriptions, included AI or MCP allowances, extra credits and expert reviews where offered are distinct from a software-delivery engagement. Availability, included usage, metering and any credit validity or renewal rules are those identified for the applicable plan or purchase. A connection does not make metered actions free, and not every MCP read is metered. Review the applicable usage information before authorizing an action.
An expert-review request may use an included review allowance. A coming-soon marketplace or code offering is not a delivered service merely because you register interest. Separate payment and delivery terms apply when an order for that service is agreed.
Subscriptions
Billing and Renewal
Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order.
The length of your billing cycle will depend on the type of subscription plan you choose when you subscribed to the Services.
Fee Changes
We may, from time to time, make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law.
Cancellation
You can cancel your subscription at any time by using one of the following methods:
- Contacting Us Directly: Send an email to contact@startmeup.ai with your cancellation request, and our support team will assist you promptly.
- Through Your Profile on Our WebApp: You can easily manage and cancel your subscription by logging into your account on our web app and navigating to the subscription settings in your profile.
If you need any assistance or have questions about canceling your subscription, please reach out to our support team at contact@startmeup.ai. Your cancellation will take effect at the end of the current paid term. If you have any questions or are unsatisfied with our Services, please email us at contact@startmeup.ai.
Return/Refunds Policy
The code-delivery rules below apply to software-delivery purchases, subject to the relevant order or signed agreement and mandatory rights. They do not determine refunds for Byblos AI subscriptions, extra credits or expert reviews. For those purchases, the applicable offer/order and statutory rights govern; contact us about cancellation, an unused allowance or a failed service. Nothing here removes a remedy for a service or digital content that does not meet applicable legal requirements.
Discretionary Refunds After Code Delivery: The code-delivery offer may restrict discretionary refunds after delivery. This does not exclude statutory remedies or a refund due under your signed agreement.
Refund Requests Prior to Code Delivery: If you are not satisfied with our services before the code is delivered, you may request a refund by contacting us at contact@startmeup.ai within 14 days of your purchase. Refund requests will be reviewed on a case-by-case basis.
Processing Refunds: Approved refunds are returned to the original payment method.
Delivered Code: Delivery alone does not remove rights that cannot lawfully be excluded. Any agreed restriction on discretionary refunds for delivered code remains subject to those rights.
By purchasing our services, you acknowledge and agree to this Refund Policy.
Software
We may include software for use in connection with our Services. If such software is accompanied by an end user license agreement (“EULA”), the terms of the EULA will govern your use of the software. For platform software without a separate licence, excluding Customer Content, Generated Outputs and separately agreed deliverables, we grant to you a non-exclusive, revocable, personal, and non-transferable license to use such software solely in connection with our services and in accordance with these Legal Terms.
Any software and any related documentation is provided “AS IS” without warranty of any kind, either express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. You accept any and all risk arising out of use or performance of any software. You may not reproduce or redistribute any software except in accordance with the EULA or these Legal Terms.
Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make the Services available. Authorized use for your business, including commercial use of Customer Content and Generated Outputs as described above, is permitted.
As a user of the Services, you agree not to:
- Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us. This does not restrict retrieval of your own workspace content through supported MCP/API connections or export tools within their permissions.
- Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
- Circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Services and/or the Content contained therein.
- Use any information obtained from the Services in order to harass, abuse, or harm another person.
- Make improper use of our support services or submit false reports of abuse or misconduct.
- Use the Services in a manner inconsistent with any applicable laws or regulations.
- Frame the Services without authorization, or link to them in a way that misrepresents an affiliation with us.
- Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Services or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Services.
- Use automation outside authorized interfaces or permissions, including unauthorized scraping, abusive messaging or attempts to evade access controls, service limits or required approvals. Supported MCP/API integrations and authorized automations are permitted within their documented scope.
- Delete the copyright or other proprietary rights notice from any Content.
- Attempt to impersonate another user or person or use the username of another user.
- Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).
- Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
- Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you.
- Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services, or any portion of the Services.
- Copy or adapt proprietary platform software except as permitted by an applicable licence, a written agreement or mandatory law. This does not prohibit use of Customer Content or Generated Outputs as permitted above.
- Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services.
- Launch or distribute unauthorized automated systems that access the Services. Ordinary browser/search-engine use, supported MCP/API connections and other expressly authorized automation remain permitted within their applicable scope.
- Make purchases through an automated agent; purchases must be completed by you or an authorized user through our checkout.
- Make any unauthorized use of the Services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
- Misappropriate proprietary platform software, confidential information or protected Content to build or operate another service in breach of applicable rights or licences. This does not restrict permitted commercial use of Customer Content or Generated Outputs.
- Share, sublicense or redistribute separately licensed code contrary to its applicable licence or signed agreement. Third-party and open-source licence rights remain unaffected.
Content You Provide
The Services allow users to create, upload and share content through the features made available to them. Visibility depends on the feature, project permissions and sharing or publishing action you choose. Uploading content to a private workspace does not by itself make it public. You must have the rights and permissions needed to upload or share it, and comply with applicable law and the Prohibited Activities above.
Content and Feedback Rights
The Customer Content, Generated Outputs and Voluntary Product Feedback sections above govern the respective rights. There is no blanket assignment of user contributions to us, and no blanket representation that private content is non-confidential. Content sent to a third-party assistant or publishing service is also subject to that service’s terms and your chosen settings.
Guidelines for Reviews
We may provide you areas on the Services to leave reviews or ratings. When posting a review, you must comply with the following criteria:
- You should have firsthand experience with the person/entity being reviewed;
- Your reviews should not contain offensive profanity, or abusive, racist, offensive, or hateful language;
- Your reviews should not contain discriminatory references based on religion, race, gender, national origin, age, marital status, sexual orientation, or disability;
- Your reviews should not contain references to illegal activity;
- You should not be affiliated with competitors if posting negative reviews;
- You should not make any conclusions as to the legality of conduct;
- You may not post any false or misleading statements; and
- You may not organize a campaign encouraging others to post reviews, whether positive or negative.
We may accept, reject, or remove reviews in our sole discretion. We have absolutely no obligation to screen reviews or to delete reviews, even if anyone considers reviews objectionable or inaccurate. Reviews are not endorsed by us and do not necessarily represent our opinions or the views of any of our affiliates or partners. We do not assume liability for any review or for any claims, liabilities, or losses resulting from any review.
By posting a review, you hereby grant to us a perpetual, non-exclusive, worldwide, royalty-free, fully paid, assignable, and sublicensable right and license to reproduce, modify, translate, transmit by any means, display, perform, and/or distribute all content relating to the review.
Third-Party Websites and Content
The Services may contain (or you may be sent via the Services) links to other websites (“Third-Party Websites”) as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties (“Third-Party Content”). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Services or any Third-Party Content posted on, available through, or installed from the Services, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content.
Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Services and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Legal Terms no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Services or relating to any applications you use or install from the Services.
Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party. You agree and acknowledge that we do not endorse the products or services offered on Third-Party Websites and you shall hold us blameless from any harm caused by your purchase of such products or services. Additionally, you shall hold us blameless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.
Services Management
We reserve the right, but not the obligation, to:
- Monitor the Services for violations of these Legal Terms;
- Take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including without limitation, reporting such user to law enforcement authorities;
- In our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Customer Content or any portion thereof;
- In our sole discretion and without limitation, notice, or liability, remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and
- Otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.
Privacy Policy
Our Privacy Policy explains personal-data processing across our services, including Byblos AI and connected tools. Acceptance of these Legal Terms is not blanket consent to personal-data processing. Specific consent is requested where required, and applicable data-processing agreements remain in effect.

By using our Services, you agree to comply with this DMCA Notice and Policy.
Term and Termination
These Legal Terms apply while you use the Services. We may restrict or suspend access to address misuse, a security risk, non-payment or a material breach, and may end a service as permitted by the applicable agreement and law. We will provide notice and an opportunity to address the issue where appropriate; urgent security or legal circumstances may require immediate action.
Do not bypass a suspension by creating another account. Ending access does not automatically erase records that must be retained or undo actions already performed by a connected tool. Before closing an account, use available export/download tools or contact us about retrieving your content. Data retention and deletion are described in the Privacy Policy. Statutory rights and separately agreed termination provisions remain unaffected.
Modifications and Interruptions
We may maintain, update or change the Services, subject to applicable law and any service commitments in your order or signed agreement. Material changes affecting an agreed paid service or its price remain subject to applicable notice, acceptance and cancellation requirements; this section does not override the notice provisions above.
Availability can be interrupted by maintenance, technical failures or events outside our reasonable control. We do not guarantee uninterrupted access. Any agreed support, availability or recovery commitments, and rights that cannot lawfully be excluded, remain in effect.
Governing Law and Disputes
These Legal Terms are governed by the laws of England and Wales. Subject to mandatory rights, disputes are to be brought before the courts of England and Wales. If you are a consumer, this does not deprive you of mandatory protections or rights to bring proceedings in another court available under applicable law.
Mandatory Rights
Nothing in these Legal Terms, including the refund, interruption, disclaimer, liability, indemnity or user-data provisions, excludes or limits rights or liability that cannot lawfully be excluded or limited. This includes liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, and applicable statutory rights relating to services or digital content.
Corrections
There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.
Disclaimer
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We make no warranties or representations about the accuracy or completeness of the Services’ content or the content of any websites or mobile applications linked to the Services and we will assume no liability or responsibility for any:
- Errors, mistakes, or inaccuracies of content and materials,
- Personal injury or property damage of any nature whatsoever, resulting from your access to and use of the Services,
- Any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein,
- Any interruption or cessation of transmission to or from the Services,
- Any bugs, viruses, Trojan horses, or the like which may be transmitted to or through the Services by any third party, and/or
- Any errors or omissions in any content and materials or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available via the Services.
We do not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Services, any hyperlinked website, or any website or mobile application featured in any banner or other advertising, and we will not be a party to or in any way be responsible for monitoring any transaction between you and any third-party providers of products or services. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.
Limitations of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO US OR ONE HUNDRED (100) US DOLLARS (USD). CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.
Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of:
- Use of the Services;
- Breach of these Legal Terms;
- Any breach of your representations and warranties set forth in these Legal Terms;
- Your violation of the rights of a third party, including but not limited to intellectual property rights; or
- Any overt harmful act toward any other user of the Services with whom you connected via the Services.
Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
User Data
We process data to provide and administer the Services as described in the Privacy Policy and applicable agreements. Keep your own copies of important content and use available export/download tools where needed. We do not promise a particular backup or recovery schedule in these general terms. This section does not waive statutory rights or obligations relating to loss, security or availability of personal information.
Electronic Communications, Transactions, and Signatures
We use electronic communications for service notices and transactions. Where applicable law requires consent to a particular electronic signature, record or delivery method, that requirement continues to apply. Nothing in these Legal Terms waives mandatory notice, form or consent requirements.
Miscellaneous
Subject to the precedence of signed agreements, orders and separate licences described above, these Legal Terms and applicable service policies govern your use of the Services. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control.
If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms or use of the Services.
